1. Identification of the service provider
These General Terms and Conditions of Sale and Services are offered by:

Hereinafter referred to as “Kimoun”.
2. B2B scope of application
These General Terms and Conditions apply exclusively to services concluded between Kimoun and professional clients.
The Client declares that it is contracting for the needs of its professional, commercial, craft, liberal, associative, institutional or administrative activity.
Any order placed with Kimoun implies full and complete acceptance of these General Terms and Conditions, unless specific terms are accepted in writing by Kimoun.
The Client’s general purchasing conditions do not apply, unless expressly and in writing accepted by Kimoun.
3. Purpose
These General Terms and Conditions define the conditions under which Kimoun provides services related to domain names and DNS, including:
- searching for the availability of a domain name;
- initial reservation of a domain name;
- renewal of a domain name;
- routine administrative and technical management of a domain name;
- DNS configuration;
- modification of DNS records;
- management of DNS servers or DNS zones;
- DNSSEC activation when available and compatible;
- standard support related to the domain name and DNS.
Services not expressly provided for in the quotation, reservation order, contract or these General Terms and Conditions are excluded.
4. Definitions
Client: any legal entity or professional individual ordering a service from Kimoun.
Domain name: identifier attached to an extension, for example .fr, .com, .net, .org, .eu, used in particular to identify an internet address.
Registry: organisation responsible for the technical and administrative management of an extension.
Registrar / Registration office: provider accredited or authorised to register domain names with a registry.
Reseller: provider offering domain name reservation, renewal or management services through one or more registrars.
Registrant: natural or legal person declared as holder of the domain name with the registry or registrar.
DNS: system used to associate a domain name with technical services, such as a website, server, email address or application.
DNS zone: set of DNS records associated with a domain name.
5. Contractual documents
The contractual relationship may include, depending on the case:
- the signed quotation or contract;
- the domain name reservation and management order;
- any specific terms;
- these General Terms and Conditions;
- the applicable rules of the registry, registrar and extension concerned.
In the event of contradiction between these documents, the above order shall prevail, unless a mandatory provision states otherwise.
The quotation or contract specifies in particular the scope of the services, prices, term, included services, any commercial discounts and applicable specific terms.
6. Language and English translation
These General Terms and Conditions are drafted in French.
An English translation may be provided for information, courtesy and convenience purposes for English-speaking clients.
In the event of any discrepancy, ambiguity or contradiction between the French version and its English translation, the French version alone shall prevail and shall constitute the contractual reference text.
7. Kimoun’s role
Kimoun acts as a technical service provider, reseller and management intermediary for domain names.
Unless expressly stated otherwise, Kimoun is neither a registry nor necessarily an accredited registrar.
The effective registration of a domain name may be carried out through one or more registration offices or third-party providers, depending on the extension, availability, technical constraints, pricing, service continuity and applicable rules.
Kimoun may work with several registrars and may change registrar or technical provider when this is necessary or useful for continuity, security, renewal, management or optimisation of the service.
The registrar actually used for a domain may be communicated to the Client upon request, in the order confirmation, in the reservation order or by any other written means.
8. Rules of registries, registrars and extensions
The Client acknowledges that each domain name is subject to:
- the specific rules of the extension concerned;
- the rules of the competent registry;
- the rules of the registrar used;
- the applicable ICANN policies for the extensions concerned;
- Afnic rules for extensions managed by Afnic, including
.fr,.re,.yt,.pm,.wf,.tf; - any eligibility restrictions;
- applicable verification, suspension, blocking, transfer, dispute or deletion procedures.
These rules may change independently of Kimoun.
The Client accepts that Kimoun cannot guarantee the maintenance of a domain name when it becomes contrary to the rules of a registry, registrar, administrative authority, court decision or applicable procedure.
9. Order and validation
Any order must specify at least:
- the requested domain name;
- the reservation or renewal term;
- the identity of the registrant;
- the necessary administrative contact details;
- the expected DNS services;
- the price or reference to the corresponding quotation;
- any applicable specific terms.
Kimoun may refuse an incomplete, inconsistent, fraudulent, technically impossible, legally risky order, or an order contrary to the applicable rules.
Kimoun may request any supporting document necessary to validate an order, in particular when the requested extension imposes specific eligibility or verification conditions.
10. Availability and reservation of the domain name
Any information relating to the availability of a domain name before order is provided for information purposes only.
A domain name is considered reserved only after effective confirmation of its registration by the relevant registrar or registry.
Kimoun does not guarantee that a domain name available at the time of the request will still be available when the order is effectively processed.
If the requested domain is unavailable, Kimoun may offer the Client a variation, another extension, another domain name, or cancellation of the order concerned.
11. Ownership of the domain name
Unless otherwise stated in the reservation order or quotation, the Client is designated as the registrant of the domain name.
Kimoun acts as a technical and administrative service provider on behalf of the Client.
The Client is solely responsible for the accuracy, truthfulness and updating of the information transmitted for the registration or management of the domain name.
Any error, omission, false declaration or failure to update may result in suspension, blocking, deletion or loss of the domain name, without Kimoun’s liability being incurred if the error is attributable to the Client.
12. Responsibility for choosing the domain name
The Client is solely responsible for choosing the domain name.
Before any order, the Client must verify that the requested name does not infringe third-party rights, including a trademark, corporate name, trade name, sign, personal name, copyright, personality right, geographical right or any other protected right.
Unless a specific service is expressly ordered, Kimoun does not carry out legal prior-rights searches.
A technical availability search does not constitute legal validation.
The Client indemnifies Kimoun against any claim, formal notice, action, proceedings, costs or judgment resulting from the choice, registration or use of the domain name.
13. DNS management
Kimoun may provide DNS configuration and management of the domain name according to the scope provided for in the quotation or contract.
DNS management may include in particular:
- creation or modification of A, AAAA, CNAME, MX, TXT, SRV or similar records;
- pointing to a website or server;
- configuration required for email services;
- addition of verification records requested by third-party services;
- DNSSEC activation when available and compatible;
- standard support on DNS modifications.
Any DNS intervention is carried out on the basis of information provided by the Client or its providers.
Kimoun cannot be held liable for the consequences of erroneous, incomplete or contradictory information transmitted by the Client or by a third party appointed by the Client.
14. DNS propagation and technical availability
The Client acknowledges that DNS modifications may require a propagation delay independent of Kimoun.
During this period, certain services may be partially or temporarily unavailable.
Kimoun does not guarantee a fixed DNS propagation time.
Kimoun cannot be held liable for interruptions or malfunctions resulting from:
- normal DNS propagation;
- an external DNS cache;
- misconfiguration by a third-party provider;
- failure of a hosting provider, registrar, registry, DNS provider, email provider or third-party service;
- an erroneous instruction from the Client;
- a modification requested by the Client.
15. DNSSEC
DNSSEC may be activated when the extension, registrar, registry, DNS servers and technical configuration allow it.
Activation, deactivation or poor coordination of DNSSEC may cause temporary DNS resolution interruption.
When DNSSEC is used with third-party providers, the Client must ensure the consistency of the keys, signatures and records required.
Kimoun cannot be held liable for an interruption resulting from poor coordination with a third-party provider or incorrect information provided by the Client.
16. Services excluded unless otherwise stated
Unless expressly stated in the quotation or contract, the following services are excluded:
- legal prior-rights search;
- trademark filing or monitoring;
- domain name dispute management;
- extrajudicial or judicial procedure;
- restoration after expiry;
- recovery after deletion;
- complex transfer;
- complete email migration;
- web hosting;
- website creation;
- data backup;
- email service;
- urgent intervention;
- on-call service;
- security audit.
These services may be subject to a separate quotation.
17. Renewal
The domain name is reserved for the term indicated in the quotation, reservation order or order confirmation.
Renewal is not automatic, unless otherwise agreed in writing or under a specific offer expressly provided for.
To be guaranteed, any renewal must be requested, validated and, where applicable, paid sufficiently before the domain name expiry date.
Kimoun may send expiry reminders, but the absence of a reminder does not release the Client from its obligation to monitor and validate renewal.
Kimoun may refuse a renewal in the event of unpaid amounts, dispute, incomplete information, non-compliance with these General Terms and Conditions, technical impossibility or refusal by the registry or registrar.
18. Expiry, suspension, deletion and loss of the domain
In the event of non-renewal, unpaid amounts, absence of validation or non-compliance with the applicable rules, the domain name may be suspended, deactivated, placed in quarantine, deleted or lost.
Depending on the extension concerned, restoration may be possible for a limited period, with specific fees.
Kimoun does not guarantee the possibility of recovering an expired, deleted, blocked or transferred domain name, or a domain name reserved by a third party.
The Client acknowledges that the loss of a domain name may be definitive.
19. Transfers
The Client may request inbound or outbound transfer of a domain name, subject to the rules of the extension, registry and registrar concerned.
The Client must provide the necessary information, including the authorisation code, registrant validation, unlocking of the domain and payment of the sums due.
Kimoun does not guarantee the success of a transfer when the domain is locked, expired, disputed, subject to a restriction, a procedure, a regulatory period, or when the information provided is inaccurate or incomplete.
Transfer operations may be billed separately if they are not included in the initial offer.
20. Prices, discounts and commercial terms
Prices are indicated in euros.
Unless otherwise stated, prices are indicated as net amounts.
VAT not applicable, Article 293 B of the French General Tax Code.
Prices, discounts, included services, commercial free offers, promotional offers or specific terms are indicated in the quotation, contract, reservation order or invoice.
When Kimoun includes a domain name, renewal or DNS service in a broader commercial offer, the limits, eligible extensions, eligibility conditions, exclusions and applicable terms must be specified in the quotation or specific terms.
Unless otherwise stated, premium domains, restoration fees, dispute fees, transfer fees, fees imposed by a registry or registrar, urgent services and paid options are excluded from included or promotional offers.
No included offer, discount or commercial free offer shall give rise to any refund, financial compensation or credit if the Client does not use it.
21. Payment
Payment is due according to the terms indicated in the quotation, contract or invoice.
Unless otherwise agreed in writing, Kimoun may make any reservation, renewal, transfer, restoration or DNS intervention conditional upon prior payment of the sums due.
Kimoun is not required to advance fees due to registries, registrars or third-party providers on behalf of the Client.
Any late payment may result, without prejudice to the sums remaining due, in:
- suspension of order processing;
- suspension of services;
- refusal of renewal;
- termination of services;
- application of late payment penalties at the rate indicated on the invoice or quotation;
- payment of the statutory fixed recovery indemnity of 40 euros;
- billing of additional recovery costs when the costs actually incurred are higher.
22. Support
Standard support is provided by email at:
Unless otherwise agreed in writing, support is provided during usual working days and business hours.
Standard support does not include urgent interventions, on-call services, audits, specific developments, legal services, disputes or interventions on third-party services not managed by Kimoun.
23. Client obligations
The Client undertakes to:
- provide accurate, complete and up-to-date information;
- respond to validation requests within the required timeframes;
- pay the sums due;
- monitor important deadlines;
- comply with the rules of registries, registrars and extensions;
- not use the services for unlawful, fraudulent, abusive or malicious purposes;
- inform Kimoun without delay of any anomaly, dispute, change of information or suspected compromise;
- preserve the confidentiality of its access credentials, identifiers, authorisation codes and sensitive information.
24. Prohibited uses
The Client undertakes not to use the services provided by Kimoun to:
- impersonate another identity;
- commit fraud;
- engage in phishing;
- send spam;
- distribute malicious software;
- circumvent security measures;
- host, redirect or promote manifestly unlawful content;
- infringe the rights of third parties;
- harm the image, security or infrastructure of Kimoun or its providers.
In the event of manifestly unlawful, abusive, dangerous use or use contrary to the applicable rules, Kimoun may suspend all or part of the services, without prior notice when urgency or security so requires.
25. Personal data
As part of the services, Kimoun may process personal data relating to the Client, the domain registrant, administrative, technical or billing contacts.
This data may be necessary for registration, renewal, DNS management, support, invoicing, compliance with legal obligations or requests from registries and registrars.
Certain data may be transmitted to registries, registrars, DNS providers, hosting providers, email providers or technical providers, including outside France, depending on the extension and provider used.
The Client guarantees that it has the necessary authorisations when transmitting data concerning third parties.

26. Subcontracting and third-party providers
The Client authorises Kimoun to use third-party providers necessary for the performance of the services, including registries, registrars, DNS providers, hosting providers, email providers, monitoring tools, security providers, billing providers or support providers.
Kimoun remains responsible for the proper performance of its own contractual obligations, without being held liable for decisions, rules, unavailability, refusals or incidents attributable to registries, registrars or third-party providers when they are beyond its reasonable control.
27. Security
Kimoun implements reasonable measures to ensure the security of the services provided.
The Client remains responsible for the security of its own equipment, accounts, access credentials, passwords, providers, websites, servers and third-party services.
The Client must report without delay any suspected compromise, impersonation, hijacking, information leak or unauthorised use.
28. Liability
Kimoun is bound by an obligation of means, unless otherwise agreed in writing.
Kimoun cannot be held liable for:
- the Client’s choice of domain name;
- infringement of third-party rights;
- refusal, blocking or withdrawal by a registry or registrar;
- unavailability of the domain before registration confirmation;
- expiry, suspension or loss due to unpaid amounts, lack of validation or incorrect information;
- DNS propagation delay;
- failure or decision attributable to a third-party provider;
- misuse of the services;
- indirect damage;
- loss of turnover, customers, image, data or opportunity.
For professional Clients, Kimoun’s total liability, all losses combined, is limited to the amount actually paid by the Client for the service concerned during the twelve months preceding the event giving rise to the liability.
This limitation does not apply in cases of gross negligence, wilful misconduct, bodily injury or mandatory legal provision to the contrary.
29. Force majeure
Kimoun cannot be held liable for a failure or delay resulting from a force majeure event or an event reasonably beyond its control, including general internet outage, cyberattack, failure of a registry, registrar, DNS provider, hosting provider or third-party service, administrative or judicial decision, strike, fire, natural disaster, power outage, war, riot or external technical blockage.
The performance of the obligations concerned is suspended for the duration of the event.
30. Complaints
Any complaint must be sent by email to contact@kimoun.com.
The complaint must specify the Client’s identity, the domain name concerned, the order or invoice reference, the description of the problem and any useful supporting documents.
Kimoun will endeavour to respond within a reasonable time.
31. Suspension and termination
Kimoun may suspend or terminate all or part of the services in the event of:
- unpaid amounts;
- breach of these General Terms and Conditions;
- abusive, fraudulent, dangerous or unlawful use;
- false, incomplete or outdated information;
- failure to respond to an important request;
- security threat;
- decision by a registry, registrar, court or competent authority.
Termination does not give rise to a refund of costs already incurred, services performed, periods started or sums due to third parties, unless otherwise agreed in writing or required by a mandatory legal provision.
32. Archiving and evidence
Email exchanges, quotations, reservation orders, contracts, invoices, confirmations, technical logs and management data may be used as evidence.
The parties acknowledge the validity of email validations, scanned handwritten signatures and electronic signatures, subject to applicable legal rules.
33. Modification of the General Terms and Conditions
Kimoun may modify these General Terms and Conditions at any time.
The applicable General Terms and Conditions are those in force on the date of the order, unless a modification is imposed by a legal, regulatory or technical rule, a registry, registrar or competent authority.
34. Partial invalidity
If any clause of these General Terms and Conditions is declared null, unenforceable or deemed unwritten, the other clauses shall remain applicable.
The clause concerned shall be replaced, as far as possible, by a valid clause producing a similar economic and legal effect.
35. Applicable law
These General Terms and Conditions are governed by French law.
36. Competent jurisdiction
In the event of a dispute with a professional Client, and unless a mandatory legal provision states otherwise, exclusive jurisdiction is granted to the competent courts of Pointe-à-Pitre, including in summary proceedings, third-party proceedings, multiple-defendant proceedings or urgent proceedings.
