Specific Terms — Printing, Print Products and Finishing — Kimoun

Kimoun’s Specific Terms for printing, finishing and production of print materials for professional clients. To be read alongside the General Terms and Conditions.

Usage note. Specific Terms applicable to printing, finishing and production of print materials for professional Clients exclusively. To be read alongside the General Terms and Conditions of Kimoun (common trunk). To be reviewed by a lawyer or legal counsel before publication.

Article 1 — Purpose and scope  

1.1 Services covered  

These Specific Terms (hereinafter “ST”) govern the printing and production Services for print materials, including:

  • printing of commercial documents (business cards, brochures, flyers, catalogues, leaflets);
  • printing of large-format media (posters, roll-ups, tarpaulins, panels);
  • printing of corporate stationery (letterhead, envelopes, notepads, notebooks, diaries);
  • printing of packaging and labels;
  • printing of event or signage materials;
  • graphic design prior to printing, where applicable;
  • finishing (cutting, folding, perforation, stapling, binding, gilding, selective varnish);
  • finishing and packaging;
  • delivery of printed products.

1.2 Eligible audience  

These ST apply exclusively to professional Clients within the meaning of Article 2 of the General Terms and Conditions of Kimoun (GTC). They do not apply to consumers within the meaning of the French Consumer Code.

The Client declares that it is contracting for the purposes of its professional, commercial, artisanal, liberal, associative, institutional or administrative activity.

1.3 Articulation with the General Terms and Conditions of Kimoun  

These ST supplement the General Terms and Conditions of Kimoun (GTC), which remain applicable for all universal provisions. In case of contradiction between these ST and the GTC, these ST shall prevail, pursuant to Article 3 of the GTC.

Article 2 — Specific definitions  

In addition to the definitions in Article 2 of the GTC, the following definitions apply:

  • Final Proof (in French: Bon À Tirer or BAT): the definitive proof of the printed product, presented to the Client for validation prior to launching production. The validation of the Final Proof constitutes express and definitive agreement on all the characteristics of the product (content, layout, spelling, typography, dimensions, colours, finishing).
  • Source file or submitted file: any digital file transmitted by the Client to Kimoun for production purposes (PDF, layout file, image, font, text document or other).
  • Finishing: post-printing transformation operations (cutting, folding, perforation, binding, gilding, varnishing, etc.).
  • Gamut: set of colours reproducible by a given printing process.
  • Four-colour process (CMYK): printing process using four inks (cyan, magenta, yellow, black) capable of reproducing the majority of colours.
  • Pantone colour: standardised colorimetric reference; certain Pantone colours are not identically reproducible in four-colour process.

Article 3 — Order process  

3.1 Quote-based order  

Any quote-based order is concluded by the Client’s signature on the Quote, accompanied by the handwritten statement “Approved, including all annexes” and, where applicable, the Client’s stamp.

The Quote specifies in particular: the description of the product, the technical characteristics (format, support, finishing, quantity), the indicative timeline, the price, and the payment and delivery terms.

3.2 Online order  

For orders placed online through Kimoun’s website, the order is validated at the end of a structured purchase journey (product selection, upload or validation of files, detailed summary, express acceptance of these ST, secure payment) followed by an order confirmation by email within a reasonable timeframe.

3.3 Confirmation and refusal  

The order becomes firm and definitive after written confirmation by Kimoun. Kimoun may refuse an order that is incomplete, inconsistent, fraudulent, technically impossible, legally risky or contrary to applicable rules. In such case, the Client is informed as soon as possible and any sums already paid are refunded.

Article 4 — Files and content provided by the Client  

4.1 Technical conformity of files  

The Client is solely responsible for the technical conformity of the files it provides. The required technical specifications (file format, resolution, CMYK colour profile, bleed, safety margins, vectorised or embedded fonts, layers, overprint) are indicated on Kimoun’s website, in the Quote, or communicated upon request.

Any file that does not comply with the specifications may result in:

  • a refusal of production by Kimoun;
  • a request for the provision of a corrected file;
  • a formatting or technical correction service invoiced separately;
  • a printing result degraded compared to the Client’s expectations, without engaging Kimoun’s liability.

4.2 Technical verification only  

Kimoun carries out a technical verification of the files (compatibility, readability, resolution, colour profile). This verification does not constitute editorial review, spell-checking or content verification, unless a service has been expressly ordered and invoiced.

The Client remains solely responsible for:

  • the full content of the files (texts, images, data);
  • spelling, grammar and editorial consistency;
  • the accuracy of the printed information;
  • compliance with third-party rights (copyright, trademarks, image rights, etc.);
  • compliance with legal provisions applicable to printed content.

4.3 Client’s warranty on rights  

The Client warrants that it holds all the necessary rights to the files and content provided (texts, photographs, illustrations, logos, fonts, trademarks, data). It indemnifies Kimoun against any claim, formal notice, action or conviction resulting from the content of the files provided or their printing.

4.4 Retention and return of files  

Unless otherwise agreed in writing, Kimoun retains the transmitted files for the duration of the order, extended by a technical archiving period that may go up to twelve (12) months, in order to facilitate any reprints.

At the end of this period, files may be deleted without notice, unless the Client requests otherwise in writing. No physical return of the files is due, as they are digital files.

Article 5 — Final Proof  

5.1 Contractual pivot  

The Final Proof constitutes the contractual pivot of the printing service. It materialises the definitive proof of the product, in all its characteristics, and enables the Client to carry out the necessary verifications before launching production.

5.2 Presentation of the Final Proof  

The Final Proof is presented to the Client by any written or digital means (email, PDF, online validation platform, physical proof). Unless otherwise agreed in writing, the Final Proof is provided in digital format.

5.3 Express validation of the Final Proof  

The Final Proof requires express validation from the Client. This validation may be given by:

  • an explicit email mentioning the validation of the Final Proof or using the phrase “Final Proof approved”;
  • a signature on a physical proof;
  • validation via the online order platform, where applicable.

In the absence of express validation of the Final Proof, production shall not be launched. Any delay in the Client’s validation results in a corresponding postponement of the delivery date without engaging Kimoun’s liability.

5.4 Effects of the validation of the Final Proof  

The validation of the Final Proof constitutes the Client’s express, irrevocable and definitive agreement on all the characteristics of the product, including:

  • the full content (texts, images, figures);
  • spelling, grammar, layout, typography;
  • the format, dimensions and quantity;
  • the colours (subject to the tolerances in Article 7);
  • finishing and finish options;
  • any other characteristic visible on the Final Proof.

From this validation onwards, the conformity of the finished product shall be assessed exclusively against the validated Final Proof, and not against the files initially provided nor against any subsequent expectation or subjective perception of the Client.

5.5 Modifications after Final Proof  

Any modification requested after validation of the Final Proof, or after launch of production, shall be subject to:

  • either a new Final Proof and a new invoicing including the costs of reprocessing, reprinting and finishing;
  • or a refusal, if production is already engaged at a stage that makes the modification technically impossible.

Kimoun is in no case obliged to accept a modification after validation of the Final Proof.

Article 6 — Production and timelines  

6.1 Starting point of timelines  

The production timelines indicated in the Quote, on the website or in the order confirmation start running from the express validation of the Final Proof by the Client, subject to the payment of any advance also having been received.

6.2 Nature of timelines  

Unless otherwise agreed in writing and expressly qualified as a “firm deadline” in the Quote or order confirmation, production and delivery timelines are communicated for indicative purposes only.

A reasonable delay in production or delivery cannot give rise to:

  • a cancellation of the order;
  • an indemnity;
  • a refusal of the product;
  • a request for price reduction.

6.3 Firm deadlines  

When a firm deadline is expressly agreed and qualified as such in writing, its non-compliance may give rise, upon justification of the damage and after formal notice that has remained without effect, to an indemnity capped at the amount of the Service concerned.

Article 7 — Manufacturing tolerances  

Printing is an industrial process involving tolerances inherent to the equipment, supports and processes used. The Client acknowledges and accepts these tolerances, which do not constitute conformity defects.

7.1 Colours  

  • Colours displayed on screen (RGB space) do not correspond identically to printed colours (CMYK or Pantone space). A screen emits light; paper reflects it.
  • Certain Pantone colours are not identically reproducible in four-colour process; the rendering shall be approximate.
  • A colorimetric tolerance is admitted in accordance with industry practices (reference: ISO 12647-2 or equivalent applicable to the process used).
  • Variations in tone between two successive print runs, or within the same print run, remain within the usual limits of the process.

7.2 Cutting, finishing and registration  

  • Cutting tolerance: up to 1 to 2 mm depending on the format.
  • Folding and scoring tolerance: up to 1 mm.
  • Recto/verso registration tolerance: up to 1 mm.
  • The Client must provide for bleeds and safety margins on its files in accordance with the technical specifications.

7.3 Quantities  

A tolerance on the quantities delivered is admitted in accordance with industry practices:

  • ± 5% for quantities greater than 1,000 copies;
  • ± 10% for quantities less than 1,000 copies;
  • with a minimum of one (1) copy difference admitted.

The quantities effectively delivered are invoiced within the limit of the admitted tolerance.

7.4 Supports  

  • Paper is a natural support that may present slight variations in tone, weight or appearance between batches.
  • Finishes (varnish, gilding, lamination) may present slight variations in appearance or shine.

Article 8 — Delivery and transport  

8.1 Place and terms  

Delivery is made to the address indicated by the Client at the time of the order, unless expressly agreed for on-site pickup. The delivery costs, timelines and mode of transport are specified in the Quote, in the order confirmation or on the website.

8.2 Transfer of risk  

Pursuant to Article L.132-7 of the French Commercial Code, the transfer of risk takes place upon handing over of the products to the carrier. Any damage or loss occurring during transport is covered by the Client’s recourse against the carrier.

8.3 Receipt and reservations  

The Client is required to verify the condition of the parcels upon receipt in the presence of the carrier and to formulate, where applicable, precise and detailed reservations on the delivery note.

Pursuant to Article L.133-3 of the French Commercial Code, in the absence of precise reservations formulated within three (3) days following receipt, the Client is deemed to have accepted the delivery in its current state.

Article 9 — Conformity, receipt and warranties  

9.1 Conformity against the Final Proof  

The conformity of the delivered product shall be assessed against the validated Final Proof, in compliance with the manufacturing tolerances set out in Article 7.

9.2 Warranty against hidden defects  

Pursuant to Articles 1641 et seq. of the French Civil Code, Kimoun guarantees the Client against hidden defects affecting the delivered products and rendering them unfit for the use for which they are intended.

The action for warranty against hidden defects must be brought within a period of two (2) years from the discovery of the defect.

Article 10 — Refusal of products and complaints  

10.1 Fundamental distinction  

A strict distinction is drawn between:

  • on the one hand, the objective non-conformity of the delivered product compared to the validated Final Proof and the admitted tolerances — which gives rise to a complaint and to replacement or refund;
  • on the other hand, the Client’s subjective dissatisfaction (change of taste, disappointment with the rendering, regret of choices appearing on the Final Proof) — which does not constitute a valid reason for refusing the product and does not give rise to any compensation, replacement or refund.

10.2 Valid grounds for complaint  

The following constitute valid grounds for complaint, subject to demonstration by the Client:

  • a product different from the validated Final Proof (content, layout, format, quantity, finishing manifestly different);
  • a characterised printing defect outside the tolerances of Article 7 (ink stains, streaks, missing print, manifestly defective registration);
  • a characterised finishing defect (incorrect folding, excessively offset cutting, defective stapling);
  • a characterised support defect (torn paper, soiled support upon delivery);
  • a delivered quantity lower than the tolerance admitted in Article 7.3;
  • a hidden defect within the meaning of Article 9.2.

10.3 Non-valid grounds  

The following do not constitute valid grounds for refusing the product or for complaint:

  • the Client’s dissatisfaction with the visual rendering of an element appearing on and validated by the Final Proof (“I no longer like the colour”, “the format seems too small”, “the photo doesn’t render well”);
  • the discovery after production of a spelling mistake, typo, content error or incorrect data appearing in the files provided or on the validated Final Proof;
  • differences in colorimetric rendering compared to a screen, a previous print, a Pantone reference not reproducible in four-colour process, or a subjective perception;
  • the variations admitted under the manufacturing tolerances of Article 7;
  • a change of mind or need by the Client subsequent to the validation of the Final Proof;
  • the absence of an element that did not appear on the validated Final Proof;
  • a result different from that expected when the Client did not follow the technical specifications (insufficient resolution, RGB colour profile instead of CMYK, fonts not included, etc.);
  • a delivery to an erroneous address communicated by the Client.

10.4 Complaint procedures  

Any complaint for visible defect must be made in writing to oliver@kimoun.com, accompanied by:

  • the order and invoice reference;
  • a precise description of the alleged defect;
  • photographs clearly illustrating the defect;
  • preservation of the products in their condition pending the handling of the complaint.

Complaint deadlines:

  • Defects apparent upon delivery: mandatory reservations on the transport slip (Article 8.3); written complaint to Kimoun within three (3) business days from delivery.
  • Defects not detectable upon delivery: written complaint to Kimoun within eight (8) days from their discovery.
  • Hidden defects: action admissible within the two (2)-year period set out in Article 9.2.

10.5 Handling of the complaint  

In case of a complaint judged to be founded by Kimoun, after adversarial examination with the Client, Kimoun proposes, at its discretion:

  • the reprinting of the product conforming to the validated Final Proof;
  • or the refund, in whole or in part, of the order;
  • or a credit note equivalent to the difference noted.

No complaint may give rise to compensation higher than the price of the order concerned. Any costs incurred by the Client internally (reorganisation, postponed event, ad hoc communication) shall not give rise to any compensation.

Article 11 — Price, payment and advance  

11.1 Price  

Prices are indicated in euros, in net amounts. VAT not applicable, Article 293 B of the French General Tax Code. Delivery costs are indicated separately.

11.2 Advance and payment  

  • Quote-based orders: an advance payment of 30 to 50% of the total amount may be required upon ordering, depending on the amount and nature of the product. The balance is due upon delivery or according to the terms indicated in the Quote (generally 30 days net).
  • Online orders: full payment upon ordering, by the secure payment methods indicated on the website.

11.3 Late payment penalties  

In case of late payment and pursuant to Article L.441-10 of the French Commercial Code, the following apply:

  • late payment penalties at the rate of three (3) times the legal interest rate in force, applicable as of right without prior formal notice;
  • a fixed indemnity for recovery costs of €40 per unpaid invoice, without prejudice to additional costs upon documented proof.

11.4 Default of payment  

In case of non-payment at the due date and after formal notice that has remained without effect for 15 days, Kimoun reserves the right to:

  • suspend or cancel the order;
  • retain the advance already paid as compensation for costs incurred;
  • not deliver or not make available the product, as applicable.

Article 12 — Intellectual property  

12.1 Client’s files and content  

The files, content, texts, images, logos and data provided by the Client remain its full and entire property. Kimoun does not hold on these elements any rights other than those strictly necessary for the execution of the Service.

12.2 Kimoun’s original creations  

When Kimoun carries out a graphic design service prior to printing (creation of a mock-up, original layout, design of a visual), the original creations are subject to a transfer of usage rights to the Client for the intended purpose, upon full payment of the corresponding invoices, pursuant to Article 7 of the ST Consulting and Web Services or to specific mentions in the Quote.

Unless otherwise expressly transferred in writing, the production sources (open files, editable mock-ups) remain the property of Kimoun.

12.3 Finished products  

Once delivered and paid for, the printed products belong in full ownership to the Client, who has free disposition of them within the limits of the rights it holds on the printed content.

12.4 Commercial reference  

Unless expressly objected to in writing by the Client, Kimoun reserves the right to present, in photographic and anonymised form if necessary, the printed products as a commercial reference on its website or its media.

Article 13 — Liability  

13.1 Reference to general provisions  

The liability regime applicable to these Services is governed by the provisions of the General Terms and Conditions of Kimoun, supplemented by these ST for the specificities of printing.

13.2 Liability cap  

Save in case of gross fault, wilful misconduct or bodily harm, the total liability of Kimoun towards the Client is capped, all damages combined, at the total amount effectively paid by the Client in respect of the order at the origin of the dispute.

13.3 Exclusion of liability  

Kimoun shall not be held liable:

  • for the non-conformity of the result when the Final Proof has been validated by the Client;
  • for errors and defects present in the files provided by the Client;
  • for the consequences of a poor technical specification of the files by the Client;
  • for transport delays when attributable to the carrier;
  • for indirect damages (loss of revenue, damage to image, missed event, missed commercial opportunity);
  • for the non-compliance of a product with legal or regulatory provisions applicable to the Client’s sector of activity, when such compliance depends on the content provided by the Client.

Article 14 — Articulation with the General Terms and Conditions of Kimoun  

These ST are read in conjunction with the General Terms and Conditions of Kimoun (GTC), which remain applicable for all universal provisions not covered here, in particular:

  • confidentiality (Article 4 of the GTC);
  • personal data protection (Article 5 of the GTC);
  • force majeure (Article 6 of the GTC), including in printing matters: generalised paper supply shortage, major press breakdown, prolonged unavailability of a carrier, large-scale logistical blockages;
  • subcontracting (Article 7 of the GTC), Kimoun being entitled in particular to use partner printers for volumes or techniques exceeding its own means;
  • assignment of contract (Article 8 of the GTC);
  • modification of the GTC (Article 9 of the GTC);
  • no waiver and severability (Articles 10 and 11 of the GTC);
  • amicable resolution, applicable law and competent jurisdiction (Article 12 of the GTC).

In case of contradiction between these ST and the GTC, these ST shall prevail.
